1. User Responsibilities

You are solely responsible for all content you post, share, or otherwise make available through iDailyBread. You agree to:

• Maintain the confidentiality of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Ensure all information you provide is accurate and current.
• Use the platform only for lawful, faith-consistent purposes.
• Respect other users and their spiritual journeys.

2. Acceptable Use Policy

You agree to use iDailyBread only for its intended faith-based, community-building purposes. The following uses are permitted:

• Sharing prayer requests, testimonies, and spiritual encouragement.
• Accessing daily devotional content and bible study materials.
• Engaging in uplifting community interaction.

3. Prohibited Content

You must not post, share, or transmit content that:

• Is unlawful, harmful, threatening, abusive, harassing, or defamatory.
• Contains hate speech, discrimination, or incites violence.
• Is sexually explicit, obscene, or pornographic.
• Impersonates any person or entity or misrepresents your affiliation.
• Infringes any patent, trademark, copyright, or other proprietary rights.
• Contains malware, viruses, or any harmful code.
• Constitutes spam, unsolicited advertising, or pyramid schemes.
• Violates biblical values and faith-based community standards.

4. Account Termination

iDailyBread reserves the right to suspend or permanently terminate your account for:

• Violation of any provision of this Agreement.
• Any attempt to disable, bypass, or circumvent the mandatory Faith-Based Filter (see Section 3a).
• Extended inactivity (more than 24 months without login).
• Providing false registration information.
• Conduct deemed harmful to the community or platform.
• Non-payment of applicable subscription fees.
• Legal requirements or court orders.

Upon termination, your right to use the platform ceases immediately. We may retain your data as required by law.

5. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved as follows:

1. Step 1 — Informal Resolution: Contact us at legal@idailybread.com within 30 days of the dispute arising. We will attempt to resolve it within 14 business days.
2. Step 2 — Mediation: If informal resolution fails, either party may request non-binding mediation through a mutually agreed mediator.
3. Step 3 — Arbitration: If mediation fails, disputes shall be resolved through binding arbitration under the American Arbitration Association rules in Dallas, Texas.

You agree to waive any right to a jury trial and to class action litigation.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, iDailyBread, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from: (a) your access to or use of (or inability to access or use) the platform; (b) any conduct or content of any third party on the platform; (c) any content obtained from the platform; or (d) unauthorized access, use, or alteration of your transmissions or content. In no event shall our aggregate liability exceed the greater of $100 USD or the amount you paid us in the past 12 months.

7. Indemnification

You agree to defend, indemnify, and hold harmless iDailyBread and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) your violation of this Agreement; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any claim that your content caused damage to a third party.

8. Modification of Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via: (a) email to your registered address, (b) in-app notification, or (c) a prominent notice on our website. Your continued use of the platform after the effective date of changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the platform before the effective date.

9. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas for any disputes not subject to arbitration.

10. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from this Agreement. The remaining provisions shall continue in full force and effect.

11. Entire Agreement

This Agreement, together with our Privacy Policy and any other policies or guidelines incorporated by reference, constitutes the entire agreement between you and iDailyBread regarding your use of the platform, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.

12. Waiver

No failure or delay by iDailyBread in exercising any right, power, or privilege under this Agreement shall operate as a waiver thereof. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. Any waiver must be made in writing and signed by an authorized representative of iDailyBread.

13. Assignment

You may not assign or transfer this Agreement or any rights or obligations hereunder, without the prior written consent of iDailyBread. iDailyBread may freely assign this Agreement, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent. This Agreement shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
